第 １６５２ 号 令和８年２月２４日火曜日 官　報 （本　　紙） 公　　告 会社その他の公告吸収分割公告及び合併公告 page="0032"　左記会社のうち、乙及び丙は吸収分割して、丙は乙の北九州支社に関する権利義務を承継し、乙はそれを承継させることにいたしました。（以下「本吸収分割」といいます）　また、左記会社のうち、甲及び乙は本吸収分割後に同日付で合併し、甲は乙の権利義務全部を承継して存続し、乙は解散することにいたしましたので公告します。（以下「本吸収合併」といいます）　本吸収分割及び本吸収合併の効力発生日はいずれも令和八年四月一日であり、本吸収分割については、乙は会社法第七八四条第二項、丙は同第七九六条第二項、本吸収合併については、甲は同第七九六条第二項、乙は同第七八四条第一項に基づき株主総会の承認決議を経ずに行うことを決定しております。　本吸収分割及び本吸収合併に対し異議のある債権者は、本公告掲載の翌日から一箇月以内にお申し出下さい。　なお、最終貸借対照表の開示状況は次のとおりです。（甲）金融商品取引法による有価証券報告書提出　　済。（乙）掲載　官報　　　掲載の日付　令和七年六月三十日　　　掲載頁　一九二頁（号外第一四八号）（丙）掲載　官報　　　掲載の日付　令和七年七月二十八日　　　掲載頁　一七九頁（号外第一七一号）　令和八年二月二十四日福岡市中央区天神一丁目一一番一号　（甲）　西日本鉄道株式会社　代表取締役　林田　浩一　福岡市中央区那の津三丁目八番一五号　（乙）　西鉄観光バス株式会社　代表取締役　湯地　雅夫　北九州市小倉北区砂津一丁目一番二号　（丙）　西鉄バス北九州株式会社　代表取締役　吉田　　透　©2010独立行政法人国立印刷局/National Printing Bureau.
