⑴ 経営陣の業務運営が著しく不適切であると認められる状況 ア 業務改善命令に違反する状況 ① 業務改善命令に至る経緯 第一プレミア証券株式会社は、平成27年の検査において、適格機関投資家等特例業務の届出者が運用するファンドに当社が適格機関投資家等特例業務の要件となる適格機関投資家出資を行う業務に関し、実質的には届出業者の負担により出資が行われ、適格機関投資家出資とは到底評価し得ない状況となっていたほか、当社が当該ファンドに係るモニタリング等をほとんど行っていなかったといった問題を指摘された。 これを受け、当社は、関東財務局長から、金融商品取引法第51条の規定に基づき、問題を発生させた根本原因を究明し、経営管理態勢等の整備を求める業務改善命令を受けた。 ② 改善命令に対する当社の対応等 当社は、改善命令を受け、問題の根本原因は、創業以来の赤字体質であった中、当時の100％株主の意向により招へいされた代表取締役らの主導のもと収益を優先するあまり、役員等の法令等遵守や投資者保護等の意識が不十分であったことに起因し、適切な経営管理態勢及び内部管理態勢の構築を怠っていたことにあるとの結論に至った。 このため、再発防止策として、株主から経営に関する提案等があった場合には、外部有識者等で構成した検討委員会を新たに立ち上げ、法令等遵守態勢の維持について問題がないか審議を行うこと等により、経営管理態勢の強化を図ることとし、平成28年8月に改善策を記載した報告書を当局に提出した。 なお、改善報告書の提出後、株主は令和5年12月末にA社に変更されたが、その後売却されている。 ③ 改善策未履行 当社の代表取締役及びもう一名の取締役は、株主の代理と称する乙と丙と面談し、事業展開や新規事業の提案について協議し、検討委員会における審議を行わずに新規事業を進め、乙の関与を秘匿していた。これらは改善報告書に記載された改善策を履行していない状況に該当し、改善命令に違反する状況と認められる。 イ 報告徴取命令に対する虚偽報告 当社は、令和6年2月に報告徴取命令を受けた際、乙の関与を隠し、経営に関与していないと虚偽の報告を行った。これにより、法令違反行為を主導していると認められる。 ⑵ 役員の資質不足 当社は、法令等遵守意識が不十分な役員を確保しており、経営陣は収益拡大のために法令違反を繰り返し、適切な経営管理態勢を構築していなかった。これにより、金融商品取引業の公正かつ的確な遂行に必要な資質を有していないと認められる。
